Rogers Communications Inc. has stated that it will not appeal the decision of the British Columbia Supreme Court in favor of Edward Rogers’ restructured board of directors.
The son of the company’s founder took advantage of his authority as the head of a family trust holding 97.5% of the voting rights to replace several directors with his carefully selected directors after being expelled from the chair. ..
Later, his new board re-elected him to steer him.
Edward Rogers’ mother and two sisters, who are also members of the board, opposed the move, alleging that they opposed the company’s governance practices.
He brought the proceeding to the Supreme Court of British Columbia, where the company was founded.
Judge Sherry Fitzpatrick confirmed Friday’s authority to make changes to the board without holding a shareholders’ meeting.
